Dealer Policy

2007/2008 LLOYD/FLANDERS' DEALER MARKETING/INTERNET POLICY

Lloyd/Flanders does not support or authorize soliciting sales of Lloyd/Flanders product via the Internet. Pricing, posted discounts, implication of discounts, quotes, or reference to national availability/shipping will not be tolerated on the Internet. Websites are to be utilized for product educational purposes and dealer information/location only. The following practices are specifically prohibited:

1. Accepting or processing consumer orders online.
2. Use of Internet to solicit phone calls, faxes, e-mails, or other
   contacts to obtain price quotes or execute sales.
3. Dealer cannot "sponsor" Lloyd/Flanders on any search.
4. Online posting of: prices, discounts, or the implication of
   discounts in anyway.
5. Online reference to nationwide shipping.
6. Displaying Lloyd/Flanders model numbers, fabric and/or
   finishes on the web.
7. Any use of the Internet for the purpose of selling online.

Any retailer linking to the Lloyd/Flanders web site must also adhere to this policy, including your home introductory page. Any authorized retailer wishing to use Lloyd/Flanders, Lloyd/Flanders' product, or any other images must display in red with a minimum size 12 font the following statement. "Lloyd/Flanders does not authorize quoting or selling product over the internet, or selling outside our local trade area, defined by the Lloyd/Flanders dealer locater at "lloydflanders.com." This statement must be prominently displayed and precede all other information on each page of any web site that makes reference to Lloyd/Flanders in any way.

Dealers shall not ship to any unauthorized individual or place of business that engages in the resale or distribution of Lloyd/Flanders product. Nor will any retailer represent or sell Lloyd/Flanders product out of any location that is not authorized by Lloyd/Flanders and/or its local representatives.

In support of our stocking dealers Lloyd/Flanders will continue with the policy of "no residential drop shipping." Retailers wishing to serve their local customer with a second home outside their local trading area must receive the goods into their warehouse and arrange to reship the merchandise. Any retailer serving a customer in this manner must also assume the responsibility of servicing that customer.

(Excludes: retailers who commission Lloyd/Flanders to manufacture custom product, proprietary to that individual retailer.) Lloyd/Flanders reserves the right to alter this policy as it deems necessary.

By signing this agreement the authorized Lloyd/Flanders dealer understands, if this policy is not strictly adhered to in spirit and entirety, Lloyd/Flanders may terminate violating dealers without further notice or explanation.
